Rowly Studios — Freelance Contractor Agreement

This agreement is entered into between Rowly Studios ("the Company") and the applicant ("the Contractor") upon submission of this application and confirmation of membership.

1. Independent Contractor Status

The Contractor agrees they are an independent freelance contractor, not an employee of Rowly Studios. The Contractor is responsible for their own taxes, insurance, and business expenses.

2. Platform Usage

The Contractor agrees to conduct all bookings arranged through the Rowly Studios platform exclusively through the platform for the duration of their membership. The Contractor agrees not to directly solicit, accept, or arrange work with any client first introduced through the Rowly Studios platform outside of the platform, at any time while the Contractor is an active member of the platform.

3. Non-Solicitation / Non-Circumvention

The Contractor agrees not to directly contact or accept direct bookings from any client introduced through Rowly Studios outside of the platform while their account is active. Discovery of off-platform solicitation or circumvention may result in immediate account suspension, permanent removal from the platform, and the Company reserving the right to seek compensation for lost platform fees. Rowly Studios reserves the right to flag or freeze any account where circumvention is suspected, pending investigation.

4. Rates

The Contractor sets their own day rate and half-day rate. All rates are subject to a platform minimum floor. Rates agreed at the time of booking are final and may not be renegotiated after a booking is confirmed.

5. Conduct

The Contractor agrees to maintain professional conduct on all bookings, communicate promptly through the platform, and uphold the standards expected of a Rowly Studios verified creative.

6. Platform Fees

Rowly Studios charges a platform service fee on bookings facilitated through the platform. Fee details are disclosed in the app at the time of booking.

7. Payment Terms & Talent Payment Guarantee

Rowly Studios is committed to paying all talent promptly and fairly. All talent payments are guaranteed within 30 days of job completion. In practice, we work hard to pay you within 5–10 business days of wrap — we chase clients so you don't have to. Every client on the Rowly Studios platform has signed a strict payment agreement with net 30 terms and enforceable late fee penalties. This means you are protected. If a client payment is delayed beyond 30 days, Rowly Studios will cover any shortfall to ensure you are paid on time, no matter what.

8. Intellectual Property

All creative work product produced by talent during engagements booked through Rowly Studios is owned by the respective client upon full payment. Talent retains no licence to reproduce, distribute, or use client work product without written consent. Rowly Studios platform materials, branding, and methodology are protected intellectual property of Rowly Studios and may not be reproduced or reverse-engineered.

9. Confidentiality

Talent agrees to keep all client briefs, shoot details, rates, and platform operational information confidential during and after any engagement.

10. Governing Law

This agreement is governed by the laws of the State of California.

By submitting this application, the Contractor agrees to the above terms and conditions.

Rowly Studios — Client Platform Agreement

This agreement is between Rowly Studios ("the Company") and the registering company or individual ("the Client") upon registration.

1. Platform Use

The Client agrees to use the Rowly Studios platform exclusively for booking talent that has been introduced through the platform, for the duration of their registration. The Client agrees not to directly book or engage any talent first introduced through Rowly Studios outside of the platform at any time while their account is active.

2. Non-Circumvention

Directly engaging Rowly Studios talent outside the platform constitutes a breach of this agreement. Discovery of off-platform circumvention may result in immediate account suspension and permanent removal from the platform. The Company reserves the right to invoice the Client for the equivalent platform service fee for any off-platform work arranged with introduced talent, and to flag or freeze any account where circumvention is suspected pending investigation.

3. Payment Terms & Late Payment Penalties

All invoices issued by Rowly Studios are due within 30 days of job completion ("the due date"). The invoice period begins the day after the final day of the booked shoot, regardless of when the invoice is received. This period is fixed.

A 2-day grace period applies immediately after the due date. After the grace period:

• Days 3–7 after due date: A 2.5% late fee is applied to the outstanding invoice total.
• Day 8 onwards: The late fee increases to 5% of the original invoice total. The Client's platform account will be restricted until the outstanding balance is cleared.
• Continued non-payment: Rowly Studios reserves the right to refer unpaid invoices to a collections agency and recover all associated costs, including legal fees.

By registering, you acknowledge and accept these payment terms and the applicable late penalty schedule.

4. Confidentiality

The Client agrees to keep the rates, availability, and contact details of Rowly Studios talent confidential and not to share this information with third parties.

5. Conduct

The Client agrees to treat all talent with respect and professionalism. Harassment, discrimination, or misconduct will result in immediate removal from the platform.

6. Governing Law

This agreement is governed by the laws of the State of California.
